Terms of Service for Garnet Marketplace
Acceptance of Terms
By installing, accessing, or using the Garnet Marketplace Shopify app ("the App"), you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the App.
Description of Service
The App enables the Client to create and manage multi-vendor marketplaces on their Shopify stores. The service includes vendor management, product synchronization, order processing, commission tracking, and various e-commerce integrations.
Account Registration and Responsibilities
When the Client creates an account with the App, the Client must provide accurate and complete information. The Client is responsible for:
- Maintaining the security of account credentials
- All activities that occur under the account
- Ensuring vendors comply with applicable laws and policies
- Monitoring and moderating content posted by vendors
Access to the Service
By using the App, the Client gets access to our services according to their chosen subscription plan. Each plan has specific limits on the number of orders, vendors, and products the Client can have. The Client is responsible for monitoring their usage to stay within these limits.
The Client can enhance their platform by adding optional features called "add-ons" to their plan. These add-ons include features like vendor shipping rates, e-commerce integrations, white-label branding, messaging systems, and more. Add-ons can be purchased separately and added to any subscription plan.
The Client's vendors will also have access to the platform under the same terms when the Client approves them to use the service.
Subscription Plans and Billing
The App operates on a subscription basis with multiple plan tiers. All plans include a 14-day free trial. Payment is managed by Shopify and will appear on the Client's Shopify invoice.
The Client must comply with their chosen subscription plan and its limitations. If the Client exceeds their plan limits, the administrator of the tool will immediately lose access to the platform until the plan is upgraded to accommodate the current usage. After 14 days of non-compliance, vendors will also lose access to the platform.
When the Client upgrades their plan or adds features, payment will be charged immediately and the billing period will be updated accordingly. If the Client downgrades their plan or removes features, the changes will take effect at the next billing cycle. The Client may cancel their subscription at any time, but no refunds will be provided for partial billing periods.
When The App upgrades existing add-ons with new features or improvements, there is no additional cost to the Client. However, if The App creates entirely new add-ons, the Client will need to purchase them separately to access their features.
The App may change its pricing on a yearly basis. The Client will be notified at least 30 days before any pricing changes take effect.
Data Protection and Privacy
We are committed to protecting the Client's data in accordance with our Privacy Policy and applicable data protection laws. By using the App, the Client consents to the collection and use of information as outlined in our Privacy Policy.
Data is stored on our secure servers hosted on AWS in Singapore. We implement industry-standard security measures to protect the Client's data, including encryption of order data both at rest and in transit. All Client data will be permanently removed from our systems within 7 days after the App has been uninstalled.
User Conduct and Prohibited Activities
The Client agrees not to:
- Use the App for any illegal activities or to violate any laws or regulations
- Attempt to gain unauthorized access to the App or other users' accounts
- Upload or transmit any malicious code, viruses, or harmful content
- Interfere with or disrupt the App or servers
- Use the App to sell prohibited or restricted items as defined by Shopify's policies
Restrictions
The Client is specifically prohibited from:
- Reverse engineering, decompiling, or attempting to discover the source code of The App's APIs or underlying technology
- Interfering with or disrupting other users' usage of The App
- Attempting to brute force access to The App or its systems
- Bypassing, circumventing, or disabling any security measures, access restrictions, or usage limitations that The App employs to prevent or restrict access to the Service
Vendor Management and Content
As a marketplace operator, the Client is responsible for:
- Vetting and approving vendor applications
- Ensuring vendor compliance with the Client's policies
- Reviewing and approving products before they go live (if enabled)
- Handling customer disputes and vendor issues
- Ensuring vendors fulfill orders in a timely manner
Intellectual Property
The App retains all rights to the App and its underlying technology. The Client retains ownership of their store data, vendor information, and content. By using the App, the Client grants us a limited license to process their data as necessary to provide the service.
Service Availability and Modifications
We strive to maintain high service availability but cannot guarantee uninterrupted access to the App. We reserve the right to:
- Modify or discontinue features with reasonable notice
- Perform maintenance that may temporarily affect service availability
- Update these terms with 30 days' notice for material changes
Limitation of Liability
The App is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose. We are not liable for:
- Any indirect, incidental, or consequential damages
- Loss of revenue, profits, or business opportunities
- Data loss or corruption
- Actions of the Client's vendors or third-party services
Indemnification
The Client agrees to indemnify and hold harmless Garnet, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- The Client's use of the App
- The Client's vendors' actions or content
- The Client's violation of these terms or applicable laws
- Any disputes between the Client and their vendors or customers
Termination
The Client may terminate this contract at any time by uninstalling the App from their Shopify store.
We may suspend or terminate the Client's account if the Client:
- Violates these Terms of Service
- Fails to pay subscription fees
- Uses the App for illegal activities
- Poses a security risk to the platform
Upon termination, the Client may export their data within 30 days, after which it may be deleted.
Compliance with Laws
The Client must comply with all applicable laws and regulations, including:
- Consumer protection laws in the Client's jurisdiction
- Tax obligations for marketplace transactions
- Data protection and privacy laws
- Import/export regulations for international sales
Dispute Resolution
These terms are governed by the laws of the Netherlands. Any disputes will first be addressed through good faith negotiations. If unresolved, disputes will be submitted to binding arbitration in Amsterdam, Netherlands, in accordance with the rules of the Netherlands Arbitration Institute.
